INTERIOR DOOR AGREEMENT

Parties and Property

This Agreement is made between Contractor and Owner for interior door installation and related services at the Property identified below. Contractor acknowledges it holds necessary licenses and insurance required by applicable law to perform the work described herein.

Scope of Work

Contractor will furnish all labor, materials, tools, equipment and supervision necessary to perform the work described below in a good and workmanlike manner consistent with industry standards. The parties agree the Work includes removal and disposal of existing interior doors as necessary, installation of new doors and hardware, trimming and adjustments required for proper operation, and cleanup as specified.

Schedule and Access

Contractor shall commence work on or about and shall substantially complete the work by , subject to delays for Force Majeure and approved change orders.

Permits, Inspections and Codes

Contractor shall obtain all permits and schedule required inspections unless otherwise agreed. Contractor represents that work will comply with applicable building codes. Responsibility for permit fees: Contractor Owner

Payment Terms

Deposit due on . Balance of the Contract Price shall be due upon substantial completion and final inspection, unless otherwise specified in writing.

Change Orders and Extra Work

Any alteration, deviation or addition to the Scope of Work shall be made only by written Change Order signed by both parties. Pricing and time adjustments for Change Orders shall be agreed in writing prior to commencement of such work.

Warranties; Defects

Contractor warrants that workmanship will be free from defects for the period set forth below. Manufacturer warranties on doors and hardware are passed through to Owner to the extent assignable. Warranty covers repair or replacement of defective work, provided Owner gives prompt written notice of alleged defects.

Insurance, Indemnity and Liability

Contractor shall maintain commercial general liability insurance and workers' compensation insurance as required by law and provide proof upon request. Contractor shall indemnify and hold Owner harmless from claims arising from Contractor's negligent performance, except to the extent caused by Owner's gross negligence or willful misconduct.

Cleanup and Disposal

Contractor shall remove and legally dispose of debris generated by the Work. Contractor shall leave the premises broom clean at completion. Any hazardous material discovered during performance shall be reported immediately to Owner and handled pursuant to applicable laws; handling and disposal costs may be charged as a Change Order.

Owner makes the following disclosures regarding conditions known at the Property that may affect removal or installation of interior doors.

Default; Termination; Remedies

If either party materially breaches this Agreement and fails to cure within seven (7) days after written notice, the non-breaching party may terminate the Agreement and pursue damages and other remedies allowed by law. Owner may withhold final payment for defective work until cured in a commercially reasonable time.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements and understandings. This Agreement may be amended only by a written instrument signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located.
