Recitals

WHEREAS, Contractor is duly licensed and experienced in the supply and installation of interior doors, hardware, and related trim and finish work; and

WHEREAS, Client desires to engage Contractor to furnish materials and perform labor to install interior doors at the project location described below in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Contractor agrees to perform such work in a professional manner and in accordance with applicable building codes and industry standards.

Contractor shall furnish all labor, materials, tools, equipment, and supervision required to complete the interior doors installation as described herein. Work includes removal and disposal of existing doors (if applicable), preparation of openings, installation of new doors, frames, hardware, casing and trim, finish adjustments, and cleanup. Specific door model, finish, and hardware selections to be confirmed in writing prior to procurement.

Materials and Responsibility

Contractor will supply the materials specified in the accepted scope. Client may elect to supply certain doors or hardware if agreed in writing. Contractor is responsible for material delivery, storage at the site, and protection of installed work. Materials provided by Client must be delivered to site prior to installation and must meet the specifications agreed upon; Contractor is not responsible for defects in Client-supplied materials.

Payment Terms

Client agrees to pay Contractor the total contract sum as follows.

Any amount not paid when due shall accrue interest at a rate of compounded monthly, and Client shall be responsible for any collection costs and reasonable attorneys' fees incurred by Contractor to recover unpaid amounts.

Change Orders

Any alterations or deviations from the Scope of Work that result in additional cost or time shall be authorized only by a written change order signed by both parties. Change orders shall describe the work, cost, and any required adjustments to schedule.

Warranties

Contractor warrants that workmanship performed under this Agreement shall be free from material defects for a period of from date of final completion. Manufacturer warranties for doors and hardware shall be passed through to Client when provided. This warranty does not cover normal wear and tear, damage due to misuse, moisture damage from pre-existing conditions, or alterations by others.

Permits and Insurance

Contractor shall maintain general liability insurance and worker's compensation as required by law. Unless otherwise agreed in writing, Client is responsible for securing any permits or inspections required for the work and for payment of associated fees.

Liens and Releases

Contractor shall not permit any mechanic's or materialmen's liens to remain outstanding against the property for work performed under this Agreement. Upon receipt of final payment, Contractor will provide unconditional lien releases for the work completed.

Confidentiality

Each party agrees to keep confidential all proprietary information disclosed by the other party in connection with this Agreement, including pricing, trade secrets, and non-public specifications, and shall not disclose such information to third parties except as required by law or as necessary to perform obligations under this Agreement. This obligation survives termination of this Agreement for a period of two (2) years.

Indemnification and Limitation of Liability

Contractor shall indemnify and hold Client harmless from claims arising out of Contractor's negligence in the performance of the Work. Client shall indemnify and hold Contractor harmless from claims arising out of Client-supplied materials or Client's failure to disclose conditions known to Client. Except for willful misconduct or gross negligence, the liability of each party under this Agreement shall be limited to direct damages not to exceed the total contract amount paid to Contractor under this Agreement. Neither party shall be liable for consequential, incidental, or punitive damages.

Term and Termination

The term of this Agreement commences on and, unless earlier terminated, shall continue until . Either party may terminate this Agreement for cause upon written notice if the other party fails to cure a material breach within days after receipt of notice specifying the breach. Upon termination for Client's convenience, Client shall pay Contractor for work performed, materials purchased and committed, and reasonable demobilization costs.

Force Majeure

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond reasonable control, including acts of God, labor disputes, material shortages, governmental actions, or other causes beyond the party's control. The time for performance shall be extended by the period of such delay.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, including all documents and change orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Acceptance

Final payment shall constitute acceptance of the work except for latent defects, and shall release Contractor from further obligations except for warranty obligations expressly set forth in this Agreement.
