What the Intern Services IP Agreement Is

An Intern Services IP Agreement is a written contract that clarifies ownership and use of intellectual property created by an intern while performing services for an organization. It specifies whether the intern assigns copyrights, patents, or other IP rights to the company, describes the scope of work, and sets expectations for confidentiality, compensation, and post‑termination obligations. The document helps prevent later disputes by establishing who owns deliverables, how inventions are disclosed, and how confidential information will be handled during and after the placement.

Why this Agreement Matters for Employers and Interns

The Intern Services IP Agreement reduces uncertainty about ownership of creative work and inventions, protects confidential information, and documents consideration. It supports enforceable assignments, clarifies obligations, and lowers litigation risk when properly drafted and executed under applicable electronic signature laws.

Why this Agreement Matters for Employers and Interns

Who Typically Uses an Intern Services IP Agreement

Organizations, hiring managers, and interns use this agreement to document IP expectations before work begins.

  • Startups and technology firms seeking clear ownership of code, designs, and prototypes created by interns.
  • University career offices and research labs arranging credit or stipend internships with IP considerations.
  • In‑house HR and legal teams ensuring consistent assignment and confidentiality terms across internship programs.

Use this agreement when an intern will create patentable inventions, copyrighted material, or any work intended for business use.

Key parties and their roles

Company Representative

Typically an HR manager or in‑house counsel who approves the agreement, confirms consideration, and enforces assignment and confidentiality obligations on behalf of the employer.

Intern Signer

The individual performing services who must sign to assign IP rights, acknowledge confidentiality rules, and confirm understanding of scope, compensation, and post‑termination duties.

Typical mistakes to avoid when preparing the agreement

  • Using vague assignment language that fails to specify the types of IP covered and the scope of rights being transferred.
  • Relying on oral promises or email threads instead of a signed, dated agreement that documents intent and consideration.
  • Failing to require the intern to disclose inventions promptly or to cooperate with patent filings and further documentation.
  • Neglecting to confirm the signer’s legal name and identification, which can complicate enforcement or notarization where required.

Follow these sequential steps to prepare, review, and execute the agreement correctly.

  • 01
Prepare draft: Insert party names, scope, and assignment terms.
  • 02

  • 03

  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication options: Email, SMS, KBA

Ensure the chosen provider preserves a tamper-evident PDF and stores a certificate of completion for recordkeeping and compliance.

How electronic execution typically works

Electronic signing follows a predictable sequence from preparation to archival; each step should be auditable.

  • Upload document: Supply the final agreement file to the signing platform.
  • Place fields: Add signature, date, and initial fields where required.
  • Send to signers: Deliver by email link or secure signing portal.
  • Capture audit trail: Record timestamps, IPs, and authentication events.
