INTERNET SERVICE PROVIDER AGREEMENT

This Internet Service Provider Agreement (the Agreement) is entered into as of Effective Date: by and between the parties set forth below.

WHEREAS

WHEREAS, Provider is engaged in the business of delivering internet access, related network services, and support; and

WHEREAS, Client desires to obtain internet and ancillary services from Provider pursuant to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Payment Terms

Client shall pay Provider for the Services in accordance with the following terms:

All amounts are payable in U.S. dollars. Client is responsible for all applicable taxes, duties, and similar charges, unless otherwise agreed in writing.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, Client shall pay all charges incurred through the effective date of termination.

Service Levels and Support

Provider will use commercially reasonable efforts to provide the Services with an uptime commitment of measured monthly. Service credits for availability below the commitment shall be Provider's sole and exclusive remedy for downtime losses.

Confidentiality

Each party agrees to maintain in confidence all Confidential Information disclosed by the other party. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, that is independently developed, or that is rightfully obtained from a third party without breach of an obligation of confidentiality. The receiving party shall use Confidential Information only to perform its obligations under this Agreement.

Indemnification; Limitation of Liability

Each party shall indemnify, defend, and hold harmless the other from third-party claims arising from that party's negligence or willful misconduct. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS AND BREACHES OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CLIENT TO PROVIDER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Acceptable Use; Suspension

Client shall not use the Services for unlawful purposes or to interfere with others' use of Provider's network. Provider may suspend Services without liability if Client's use materially degrades the network, violates law, or creates an imminent security risk, provided Provider uses reasonable efforts to notify Client in advance where practicable.

Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, fire, flood, labor disputes, acts of government, network outages beyond Provider's direct control, or third-party transit failures. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

Notices

Notices under this Agreement shall be in writing and delivered to the contact information provided above, by certified mail, courier, or electronic delivery with confirmation, and shall be effective upon receipt.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in the county of the chosen governing state, unless the parties mutually agree otherwise.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, proposals, or agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The rights and obligations of the parties under this Agreement are not assignable without the prior written consent of the other party, except Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
