Payment Terms

Compensation: Client shall pay Provider a total fee in the amount of $ for the services described herein. Payment is due in accordance with the schedule below.

Late Payment: Amounts not paid within days of invoice due date will incur a late fee equal to % per month on the outstanding balance, or the maximum lawful rate if less.

Term and Termination

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for 14 days following written notice of breach.

Confidentiality

Confidential Information shall not include information that (a) is or becomes publicly available without breach; (b) was lawfully in the recipient's possession prior to disclosure; (c) is received from a third party without breach of obligation; or (d) is independently developed without use of the discloser's Confidential Information.

The recipient shall use Confidential Information solely for the performance of this Agreement and shall limit access to those employees and contractors who have a need to know and are bound to confidentiality obligations at least as protective as those herein. Upon termination or request, recipient will return or destroy Confidential Information, except archival copies retained in compliance with law or for business recordkeeping.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Exclusive jurisdiction for disputes arising under this Agreement shall be the state and federal courts located in that state.

Entire Agreement

This Agreement, together with any written attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
