Term and Termination

The internship shall commence on and end on unless earlier terminated as provided herein.

Either party may terminate this Agreement for any reason upon written notice to the other party. Unless immediate termination is required for cause, the terminating party shall provide at least days' advance written notice.

For purposes of this Agreement, "cause" includes material breach of Company policies, unlawful conduct, gross negligence, or conduct likely to damage Company's reputation or operations.

Confidentiality

Intern acknowledges that in the course of the internship Intern may have access to proprietary and confidential information belonging to Company ("Confidential Information"). Intern shall hold all Confidential Information in strict confidence, shall not disclose it to any third party, and shall not use it except as necessary to perform duties under this Agreement. Confidential Information does not include information which is or becomes generally available to the public through no breach of this Agreement by Intern, or which is rightfully received from a third party without restriction.

Upon termination or at Company's request, Intern shall promptly return all documents and materials containing Confidential Information and shall certify in writing that all such materials have been returned.

Intellectual Property

Intern agrees that all works, inventions, designs, discoveries, improvements, developments, documentation, data, reports and other materials created, conceived or developed by Intern, either alone or jointly with others, in the performance of the internship or through the use of Company's resources (collectively, "Work Product"), shall be the exclusive property of Company. Intern hereby assigns and will assign to Company all right, title and interest in and to such Work Product and agrees to execute such instruments as may be reasonably necessary to effectuate such assignment.

Liability and Compliance

Intern shall comply with all Company rules, policies and lawful directions. Intern acknowledges that Company shall not be responsible for personal injury or loss of personal property except to the extent caused by Company's gross negligence. Intern is encouraged to maintain personal health insurance; Company is not obligated to provide benefits unless expressly stated in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties acknowledge that no waiver of any breach shall be deemed a waiver of any subsequent breach.
