What an Interprofessional Services Agreement Covers

An Interprofessional Services Agreement is a written contract that sets the terms for collaboration between two or more professional parties—such as clinicians, hospitals, therapists, consultants, or educational providers. It typically defines scope of services, roles and responsibilities, billing and payment terms, recordkeeping and data-sharing rules, confidentiality (including PHI protections where applicable), indemnity and insurance obligations, term and termination provisions, and dispute-resolution procedures. The agreement also specifies governing law and any required notices. Properly executed, it establishes clear operational expectations and reduces the risk of professional or regulatory disputes.

Why a Clear Agreement Matters for Professional Collaboration

A well-drafted Interprofessional Services Agreement clarifies responsibilities, allocates liability, and documents billing and data-sharing rules. It supports regulatory compliance (for example HIPAA for health information), reduces ambiguity in multi-provider care, and creates an enforceable record that helps resolve disputes and preserve reimbursement rights.

Why a Clear Agreement Matters for Professional Collaboration

Core Sections to Include in the Agreement

Include these core sections to make the agreement operationally complete and legally robust across most professional settings.

Scope of Services

Describe specific services, deliverables, locations, and performance standards so each party’s duties and acceptance criteria are clear and measurable.

Term & Termination

Specify start/end dates, renewal mechanics, termination for cause or convenience, and required notice periods to avoid unintended auto-renewals.

Payment & Billing

Detail fees, invoicing cadence, payment terms, late fees, responsibility for taxes, and procedures for disputed invoices.

Confidentiality/PHI

Include confidentiality obligations, data-share limits, permitted disclosures, and a HIPAA Business Associate Agreement when protected health information is exchanged.

Liability & Insurance

Allocate risk, state indemnity obligations, and list required insurance types and minimum limits to protect each party.

Governing Law & Disputes

Select governing state law, specify venue, and include dispute-resolution steps such as negotiation, mediation, or arbitration.

Step-by-Step: Completing the Agreement

A concise sequence to prepare, review, and execute an Interprofessional Services Agreement correctly.

  • 01
Draft or Upload: Prepare a complete draft or upload the final contract to your signing platform.
  • 02
Populate Fields: Enter legal names, effective date, scope, fee terms, and any exhibits or schedules.
  • 03
Review & Approve: Have legal and compliance review clauses like indemnity, PHI handling, and insurance.
  • 04
Sign and Archive: Execute via authorized signatures and store an immutable, timestamped copy for records.

Who Typically Enters an Interprofessional Services Agreement

Tailor the agreement to the parties’ professional licenses, payer requirements, and any applicable privacy or education laws.

  • Multidisciplinary clinics contracting with independent therapists for shared care responsibilities and billing coordination.
  • Hospitals or health systems engaging private practitioners or consulting firms for episodic services or specialty coverage.
  • Educational institutions arranging shared student services, clinical placements, or inter-agency program delivery.

Who Can Sign on Behalf of Each Party

Authorized Signatory

Typically an officer, director, or manager with express authority to bind the organization. Confirm delegated signing authority in bylaws, corporate resolution, or an internal authorization memo before execution.

Clinical Director

For clinical scopes, a clinical director or medical director often signs to confirm operational terms and compliance with professional standards and credentialing requirements.

Digital Signing and File Requirements

Ensure the platform can deliver a tamper-evident executed copy, export audit logs, and meet any industry-specific compliance requirements.

  • File Formats: PDF, DOCX accepted
  • Signer Authentication: Email, SMS, KBA options
  • Integrations: CRM and storage systems

Configuring an Online Signing Workflow

Set up the routing logic and field types to match the agreement’s requirements before sending for signatures.

Field Mapping Map signature, initials, dates, and text fields to correct parties
Conditional Fields Show or hide sections based on selected options
Signer Order Use sequential or parallel signing as required
Authentication Level Choose email, SMS, or KBA for signer verification
Audit Trail Capture timestamps, IPs, and activity logs

Typical Routing and Submission Flow

A common end-to-end process for sending, signing, and storing the agreement electronically.

  • Create Template: Upload and add reusable fields
  • Assign Signers: Enter signer emails and roles
  • Authenticate Signer: Select required verification method
  • Store Executed Copy: Archive final PDF and audit report

Common Timeframes and Notice Periods to Include

Define explicit deadlines and notice windows to reduce disputes over termination, payment, and renewals.

Effective Date:

Date when obligations begin (MM/DD/YYYY)

Payment Terms:

Payment due within 30 days of invoice

Termination Notice:

Provide 30 or 60 days written notice as specified

Insurance Certificates:

Deliver within 10 business days of request

Renewal Notice:

Provide 60 days advance written renewal notice

Common Preparation Mistakes to Avoid

  • Ambiguous scope or deliverables that leave responsibilities unclear and invite disputes over performance obligations.
  • Using informal or trade names rather than full legal entity names, causing signatory authority and tax-reporting problems.
  • Failing to include data-sharing protocols and PHI handling rules when patient information is exchanged between parties.
  • Omitting insurance, indemnity, or limitation-of-liability clauses that leave parties exposed to unexpected financial risk.

Key Legal Risks and Potential Penalties

Breach Liability: Monetary damages and injunctive relief possible
HIPAA Exposure: Civil/criminal penalties for PHI mishandling
Tax Penalties: IRC §6721 penalties for incorrect reporting
License Risk: Professional discipline for regulatory violations
Contract Voidability: Improper execution may render contract unenforceable
Delay Costs: Late performance can trigger liquidated damages

Two compact case sketches show how these agreements function in practice and what operational details matter most.
