CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public business, operational, financial, and inventory information disclosed by one party to the other. Each party agrees to (a) maintain Confidential Information in strict confidence, (b) use such information solely to perform its obligations under this Agreement, and (c) not disclose such information to third parties except to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets, which shall be protected for so long as such information remains a trade secret under applicable law.

Exceptions: Confidential Information does not include information that is (i) publicly available through no breach of this Agreement, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of Confidential Information.
