INVENTORY MANAGEMENT PRE-SHIP INVENTORY AGREEMENT

Recitals

WHEREAS, Inventory Provider operates an inventory management and logistics service and performs pre-shipment inventory counts, packaging inspection, and related documentation; and

WHEREAS, Client desires a pre-ship inventory and certification of goods to be shipped to identified consignee(s) and requires documentation of item condition, counts, packaging and declared values prior to shipment; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Either party may terminate this Agreement for convenience with written notice at least days prior to the intended termination date. Termination for material breach may be immediate if the breaching party fails to cure within 10 days after receipt of written notice.

Confidentiality

Each party shall treat as confidential all business information disclosed by the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be disclosed to third parties except as required by law or to perform the services under this Agreement. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified by Client's principal place of business at the time of execution, without regard to conflict of laws principles. Parties consent to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any attachments and referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
