INVENTORY MANAGEMENT ROOM INVENTORY AND SERVICES AGREEMENT

This Inventory Management Room Inventory and Services Agreement ("Agreement") is made and entered into as of (the "Effective Date"), by and between Client Name: and Inventory Manager: .

WHEREAS

WHEREAS, Client operates a physical room or rooms requiring inventory tracking, storage accountability, and periodic reconciliation (the "Inventory Room"); and

WHEREAS, Manager has experience and systems for maintaining, auditing, and reporting inventory on behalf of Client and is willing to provide such services under the terms set forth herein.

SCOPE OF WORK

Manager shall perform inventory management services for the Inventory Room, including but not limited to: receiving and logging incoming items, labeling and storing items by location, conducting scheduled physical counts, reconciling variances, preparing inventory reports, and coordinating disposition of surplus items in accordance with Client instructions. Specific tasks, frequency, and performance standards are described below and in the inventory log.

INVENTORY LOG / ROOM INVENTORY

The following table shall be used to record individual inventory items physically located in the Inventory Room at the time of initial inspection and subsequent reconciliations. Manager shall update this log after each scheduled count or material change.

PAYMENT TERMS

Client shall pay Manager the fees set forth below in consideration for the services rendered under this Agreement.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any material breach by the other party that remains uncured for a period of after written notice describing the breach. Either party may terminate without cause upon written notice.

CONFIDENTIALITY

Manager shall maintain as confidential all non-public information obtained from Client in connection with performing inventory services, including inventory quantities, locations, pricing, item identifiers, and Client operational processes ("Confidential Information"). Manager shall not disclose Confidential Information except to its employees and subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including the inventory log and any attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS AND WARNINGS

Each party represents and warrants that it has the authority to enter into this Agreement and that the information provided in the inventory log is true and accurate to the best of its knowledge at the time of recording. Manager shall exercise reasonable care in handling Client property but shall not be liable for loss or damage resulting from Client negligence or force majeure events. Any limitation of liability shall be set forth in a separate schedule if required by either party.
