RECITALS

WHEREAS, Client operates inventory storage facilities and maintains stock subject to rotation, lot control, and expiration management; and

WHEREAS, Service Provider is engaged to perform inventory stock rotation, including identification, movement, re-labeling, and documentation to ensure first-expiry/first-out or agreed rotation method compliance; and

WHEREAS, the parties desire to set forth the scope, schedule, compensation, and legal terms governing the stock rotation activities.

SCOPE OF WORK

Service Provider shall perform inventory stock rotation services at the locations identified by Client. Services include inspection of on-hand stock, identification of items for rotation, relocation to designated pick areas, re-labeling with rotation dates or lot numbers, and providing a completed rotation log to Client. Service Provider will comply with Client handling procedures and applicable storage and safety requirements.

PAYMENT TERMS

Client shall compensate Service Provider for stock rotation services as set forth below. Payment obligations are independent of inventory valuation or loss unless caused by gross negligence or willful misconduct by Service Provider.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breach remains uncured thirty (30) days after written notice. Termination shall not relieve Client of payment obligations for services performed through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain the confidentiality of proprietary information disclosed in connection with the Services. Confidential information excludes information that (i) is or becomes publicly available without breach; (ii) was rightfully in the receiving party's possession prior to disclosure; or (iii) is independently developed. Obligations of confidentiality survive termination for a period of two (2) years, or longer where required by applicable law for personal data or trade secrets.

RISK, DAMAGE AND LIABILITY

Service Provider shall exercise reasonable care in handling inventory. Client retains title to inventory and shall be responsible for its valuation. Service Provider's liability for loss or damage arising from negligence is limited to direct damages up to the total fees paid for the affected rotation batch. Neither party is liable for consequential or punitive damages except for willful misconduct or gross negligence.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive laws of the state specified by the parties. Venue for any dispute shall be the courts competent in that jurisdiction.

ENTIRE AGREEMENT

This document, including any attached inventory schedules or change orders signed by both parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter hereof and supersedes all prior agreements, proposals, and understandings, whether written or oral.
