Either party may terminate this Receipt in accordance with the notice period above. Termination shall not relieve Depositor of obligations to pay accrued charges and expenses, including reasonable costs of removal of goods.

CONFIDENTIALITY

Each party shall keep confidential any non-public business information disclosed in connection with this Receipt and shall not disclose such information to third parties except as required by law or as necessary to perform obligations hereunder. Confidentiality obligations shall survive termination of this Receipt for a period of two (2) years.

LIENS, STORAGE CHARGES AND RIGHT TO SELL

The Depositor grants the Warehouse a warehouseman's lien on the goods for unpaid charges, including storage, handling, insurance, and related expenses. If charges remain unpaid for after written notice and demand, the Warehouse may sell the goods at public or private sale in a commercially reasonable manner and apply proceeds to outstanding amounts after deduction of sale costs.

LIMITATION OF LIABILITY AND INSURANCE

The Warehouse shall exercise ordinary care in the custody and storage of goods. Except to the extent caused by the Warehouse's gross negligence or willful misconduct, liability for loss or damage shall be limited to the lesser of replacement cost or actual market value at the time and place of loss. Depositor is encouraged to obtain insurance covering the full value of the goods; required minimum insurance:

CLAIMS AND INSPECTION

Depositor shall inspect goods within days of receipt and notify the Warehouse in writing of any shortage, damage, or nonconformity. Failure to provide timely written notice constitutes conclusive evidence that the goods were received in good order and condition.

GOVERNING LAW

This Receipt shall be governed by and construed in accordance with the laws of the state specified below. Any disputes arising under this Receipt shall be subject to the exclusive jurisdiction of the competent courts of that state.

ENTIRE AGREEMENT

This Receipt, together with any attachments and addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements. Amendments must be in writing and signed by both parties.
