What the Investment Advisory Form ADV Is and who it covers

The Investment Advisory Form ADV is the primary disclosure and registration filing used by U.S. investment advisers to describe their business, ownership, services, fees, conflicts of interest, disciplinary history, and assets under management. Form ADV is divided into Part 1, which collects regulatory and organizational data for SEC or state review, and Part 2 (the brochure) plus Part 2B (brochure supplement) that describe services and advisor personnel in client-facing language. Advisers file and update the form through the IARD or EMMA-style portals required by their regulator.

Why accurate ADV filings matter for compliance and clients

Filing a complete, accurate Form ADV ensures an adviser meets SEC or state registration requirements, communicates conflicts and fees to clients, and reduces regulatory exposure. Proper disclosures support client trust and form the baseline for examinations and routine reporting.

Why accurate ADV filings matter for compliance and clients

Who typically prepares and relies on Form ADV

Investment advisory firms, compliance officers, and counsel typically prepare Form ADV and related client brochures before offering advisory services.

  • Registered investment advisers and firms responsible for periodic and event-driven ADV amendments.
  • Chief compliance officers and in-house counsel who maintain disclosures and respond to regulator requests.
  • Third‑party compliance vendors and broker-dealer partners that support filing, client delivery, and recordkeeping.

The document also informs prospective and existing clients, who rely on Part 2 disclosures when assessing suitability and conflicts.

Step-by-step: Preparing and submitting Form ADV

Follow these steps in sequence to prepare, review, sign, and submit Form ADV while preserving client deliverables.

  • 01
Gather Records: Collect incorporation, ownership, client list, fee schedules, and disciplinary history.
  • 02
Draft Answers: Complete Part 1 factual data and draft Part 2 brochure language for client disclosure.
  • 03
Internal Review: Have compliance and counsel verify responses and fee calculations before signature.
  • 04
Sign and File: Authorized signer signs the filing and submit via IARD or state portal; retain proof of submission.

Where to file Form ADV and how it gets routed

Filing depends on AUM and adviser status; use the appropriate SEC or state portal and follow upload and certification steps.

  • SEC Filings: Advisers meeting SEC thresholds file through the IARD/EDGAR process as required.
  • State Filings: State-registered advisers submit to the relevant state securities regulator via IARD or state portal.
  • Client Delivery: Deliver Part 2 brochure to clients per timing rules and keep proof of delivery.
  • Amendments: File annual and material amendments promptly via the same filing system.

Core components of a professional Form ADV submission

A complete submission blends factual regulatory data with clear, client-facing disclosures and personnel biographies. Each component supports transparency and regulatory review.

Part 1

Structured questionnaire for regulators capturing corporate structure, ownership, business activities, custody, and disciplinary history; used by SEC and state examiners to assess registration status.

Part 2A Brochure

Client-facing narrative covering services, fees, conflicts, investment strategies, and disciplinary events; must be accurate and accessible to clients.

Part 2B Supplement

Biographical disclosures for key advisory personnel, including education, business background, and relevant disciplinary matters, allowing clients to evaluate advisor qualifications.

Form ADV-E

Examiner and custody reporting attachment used when an independent public accountant inspects client asset custody; supports SEC custody compliance checks.

Amendments

Annual updating amendments and interim material amendments keep Part 1 and Part 2 accurate; timeliness reduces regulatory attention.

Delivery Records

Proof of brochure delivery and client acknowledgments form part of compliance files and are required for examinations and dispute resolution.

Required data elements that must appear on Form ADV

Firm Identity: Legal name and principal office
CRD / IARD: Registration identifier
AUM: Assets under management
Services Offered: Advisory programs described
Fee Structure: Detailed fee calculation
Disciplinary History: Any reportable events

Common preparation pitfalls to avoid

  • Using outdated brochure language that does not match answers in Part 1 leads to examiner follow-up and client confusion.
  • Failing to report affiliate or related-party transactions which can trigger requests for additional documentation and potential enforcement.
  • Misreporting AUM or using inconsistent fiscal dates causes calculation discrepancies and may require corrective amendments.
  • Delaying amendments for material changes increases regulatory risk and can be treated as a reporting violation.

Regulatory consequences and practical risks of incorrect ADV filings

Civil Penalties: Enforcement fines and remedial orders
Registration Suspension: Temporary or permanent suspension risk
Reputational Harm: Client trust and business impact
Examination Intensity: More frequent regulator reviews
Late Filing Fees: Administrative fines or charges
Custody Findings: Enhanced requirements and audits
