What an Investment Agreement Package Includes

An Investment Agreement Package is a bundled set of legal documents that memorialize terms between investors and issuers for an equity or debt financing. Typical contents include a subscription or purchase agreement, investor questionnaire or accredited investor certification, capitalization table updates, closing statement, exhibits (e.g., investor signatures, corporate resolutions), and any escrow or wire instructions. The package documents obligations, purchase price or commitment, representations and warranties, closing conditions, and post-closing covenants so that parties and counsel have a single reference for execution, funding, and regulatory reporting.

Why use a consolidated Investment Agreement Package

A complete package reduces ambiguity at closing by grouping all required agreements, signatures, and supporting items into a single workflow. It helps ensure consistent terms, faster fund transfers, clearer audit trails, and easier post-closing compliance for tax and securities reporting.

Why use a consolidated Investment Agreement Package

Who prepares and receives the package

Typical creators and recipients of an Investment Agreement Package include issuers, lead counsel, placement agents, escrow agents, and incoming investors.

  • Startups and issuers preparing fundraising closings and managing cap table updates.
  • Law firms drafting subscription and purchase agreements for clients.
  • Investors conducting diligence and executing subscription or transfer documents.

Parties use the package to coordinate execution, transfer of funds, and any required tax or regulatory disclosures after closing.

Principal signer roles

Issuer CEO

The corporate officer who signs on behalf of the issuer and certifies corporate authority. Typically provides authorizing board resolution and confirms capitalization changes; counsel often reviews before signature to ensure binding authority and accurate corporate representations.

Investor Representative

The individual or entity authorized to subscribe or wire funds on behalf of an investor. Must provide accredited investor certification or KYC documentation where required and ensure the investment amount and account instructions match the wiring and subscription exhibits.

Core components to include in a professional package

Assemble these items consistently so parties can execute without missing elements at closing.

Subscription Agreement

The primary contract documenting the investor's purchase commitment, purchase price, payment terms, and representations and warranties required for the issuance.

Investor Questionnaire

Collects investor status, suitability, and accredited investor certifications; used for securities law compliance and KYC checks.

Board/Corporate Approvals

Board resolutions or officer certificates approving issuance and authorizing signatories; required to demonstrate corporate authority.

Wire & Escrow Instructions

Detailed wiring information, escrow agreement if used, and conditions for releasing funds at closing to avoid settlement delays.

Cap Table Update

Post-closing capitalization table and share ledger entries showing dilution, option pools, and new ownership percentages.

Closing Statement

A short summary listing delivered documents, funds received, and any conditions remaining for funding or issuance.

  • Failing to attach investor KYC or accredited investor documentation, which risks noncompliance with securities law exemptions.
  • Incorrect wiring instructions or mismatched amounts between the subscription and closing statement, which can prevent fund release by escrow.
