INVESTMENT AND INSURANCE AGREEMENT

This Investment and Insurance Agreement (the Agreement) is entered into on (Execution Date) by and between the parties identified below.

Recitals and Purpose

WHEREAS, Investor intends to invest funds to obtain both investment return and insurance benefits as set forth herein; and WHEREAS, Issuer is authorized to issue the insurance product described below and to manage investment allocations in accordance with the terms of this Agreement.

Definitions

"Policy" means the insurance contract or certificate issued by the Issuer to the Investor under this Agreement. "Contributions" means all premiums, deposits, transfers, and other payments made by Investor to fund the investment component of the Policy. "Net Asset Value" means the measurement of the investment sub-account values in accordance with the Issuer's valuation policies.

Allocation, Fees, and Schedule

Investor elects the following initial allocation of Contributions among available sub-accounts or investment options. Investor acknowledges that allocations may be adjusted subject to product rules and fees described below.

Fees and Charges: The Issuer shall deduct mortality and expense charges, administrative fees, surrender charges, and any applicable management fees as described in the policy provisions. Investor acknowledges and agrees that fees reduce investment returns.

Death Benefit: The Policy will provide the death benefit and any guaranteed minimums as set forth in the Policy terms. Surrender and withdrawal terms shall be governed by the Policy contract.

Representations, Warranties and Acknowledgements

Investor represents and warrants that Investor is authorized to make the Contributions identified herein, that all information provided to the Issuer is true and complete, and that Investor has received and reviewed the Policy contract, including applicable prospectuses and risk disclosures. Investor acknowledges that investment sub-accounts are subject to market risk and that past performance is not indicative of future results.

Investor acknowledges receipt of risk disclosures and understands the potential for loss of principal and the nature of insurance guarantees (if any).

Default, Termination, and Remedies

Events of Default include failure to timely pay required premiums, material misrepresentation, or other breaches as defined in the Policy. Upon default, Issuer may suspend benefits, deduct outstanding charges, surrender sub-account values according to contract terms, or pursue remedies available at law or in equity.

Notices

All notices under this Agreement must be sent in writing to the addresses below and shall be effective upon receipt.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Issuer in the Policy. Any dispute arising out of or relating to this Agreement shall be resolved in accordance with the dispute resolution provisions set forth in the Policy, unless otherwise agreed in writing.

Certifications

By signing below, Investor certifies that Investor is of legal age to enter into this Agreement, that the funds provided are not proceeds of unlawful activity, and that Investor has the authority to designate beneficiaries as indicated. Issuer certifies that it is duly organized and authorized to issue the Policy and to accept Contributions under the terms set forth in this Agreement.
