What an Investment Business Agreement Is

An Investment Business Agreement is a legally binding contract between an investor (or group of investors) and a company that sets the terms for capital contributions, ownership interests, governance, and exit rights. It defines the investment amount, type of security (equity, preferred shares, convertible note, or loan), valuation or conversion mechanics, investor protections such as anti-dilution and liquidation preferences, representations and warranties, conditions precedent, and dispute resolution. The agreement allocates responsibilities for funding, timelines for closing, and ongoing reporting obligations, and it may include board appointment or consent rights.

Who typically prepares and signs this agreement

Founders, angel investors, venture capitalists, private equity sponsors, corporate counsel, and finance teams use an Investment Business Agreement to formalize capital and governance terms.

  • Startup founders seeking equity funding and defined governance arrangements from investors.
  • Angel and VC investors documenting ownership, protections, and exit preferences.
  • Legal and finance teams drafting terms, due diligence schedules, and reporting obligations.

The agreement suits single transactions and periodic financing rounds; tailored clauses depend on deal structure, security type, and jurisdictional law.

Typical signatory roles and their responsibilities

Founder

Founders typically sign on behalf of the company if authorized by corporate governance documents. The text should state entity name, title, and authority; include board resolution or corporate minutes when required to verify signing power and avoid later challenges to enforceability.

Investor Representative

Investor representatives or named signatories execute investment commitments and any side letters. Provide corporate or fund authority documentation, and if signing for a fund, include fund name, manager identity, and evidence of delegated signing authority to prevent disputes.

  • Company Records: Retain executed original in corporate minute book
  • Investor Files: Provide signed copies to each investor entity
  • Regulatory Filings: File required notices or exemptions with SEC or state

Common preparation mistakes to avoid

  • Failing to identify the correct legal entity or signatory authority, causing executory disputes and potential unenforceability at closing.
  • Using vague economic terms like 'reasonable valuation' without formulae or caps, which creates ambiguity during conversion or exit events.
  • Omitting required securities filings or exemptions under SEC rules, exposing parties to penalties and rescission claims.
  • Neglecting to include information rights and reporting cadence, impairing investor oversight and future financing coordination.

Consequences and legal risks of errors

Unauthorized Signing: May render agreement voidable
Securities Violations: Civil penalties and rescission risk
Tax Consequences: Trigger taxable events for parties
Breach Damages: Monetary liability and injunctions
Disclosure Errors: Fraud claims or indemnity exposure
Enforcement Costs: Legal fees and prolonged litigation
