This Confirmation shall be governed by and construed in accordance with the laws of the jurisdiction specified by Issuer below without regard to conflicts of law principles. Any dispute arising out of or relating to this Confirmation shall be resolved as provided in the offering documents or, if none, exclusively in the courts of the governing jurisdiction.

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No amendment shall be effective unless executed in writing by both Investor and Issuer.
