Closing; Transfer Procedures

The closing of the transfer (Closing) shall occur on or before (Closing Date), subject to satisfaction or written waiver of the conditions set forth in this Agreement. At Closing, Transferor shall deliver to Transferee all executed transfer documents, instruments of assignment, certificates and any necessary endorsements, and Transferee shall deliver the consideration in cleared funds or other form as agreed.

Closing is conditioned upon: (a) Transferor's representations and warranties being true and correct in all material respects as of Closing; (b) Transferee's representations and warranties being true and correct in all material respects as of Closing; and (c) receipt by each party of all required consents, approvals and documentation specified in this Agreement.

Tax Matters

Each party shall be responsible for its own tax obligations arising from the transactions contemplated by this Agreement. Unless otherwise agreed in writing, Transferee shall be responsible for any transfer, stamp, documentary or similar taxes measured by or due upon the transfer. Parties shall cooperate in good faith to provide information reasonably necessary to determine tax treatment.

All notices, requests, consents and other communications required or permitted by this Agreement must be in writing and delivered to the addresses set forth below.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and may be amended only by a written instrument signed by both parties. No assignment of this Agreement shall be effective without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or successor in connection with a merger, sale of substantially all assets or corporate reorganization.
