INVESTMENT TRUST AGREEMENT

Parties

This Investment Trust Agreement (the "Agreement") is made effective as of (the "Effective Date"), by and between the undersigned Settlor/Grantor and the Trustee who accepts appointment pursuant to the terms below.

Recitals

The Settlor desires to create an investment trust pursuant to the terms of this Agreement for the benefit of designated beneficiaries and to vest in the Trustee the powers necessary to manage, invest and administer the trust assets in accordance with the Trust's investment objectives and restrictions.

Definitions

Capitalized terms used in this Agreement have the meanings set forth herein: "Trust Property" means all assets held by the Trustee hereunder; "Beneficiaries" means those persons or entities identified as such under this Agreement; "Fair Market Value" means the value determined pursuant to the valuation procedures set forth in Section 7.

Trust Property — Initial Contribution; Schedule of Assets

The Settlor delivers and transfers to the Trustee, and the Trustee accepts, the property described on Schedule A attached hereto (Initial Trust Assets). The Trustee shall hold, invest and reinvest such Trust Property in trust for the Beneficiaries in accordance with this Agreement.

The Trustee shall have all powers necessary or advisable to carry out the purposes of the Trust, including, without limitation, the power to buy, sell, exchange, lease, encumber and otherwise manage Trust Property; to borrow funds for trust purposes; to make distributions to Beneficiaries in cash or in kind; to enter into agreements and to engage agents, custodians, investment managers or advisors. Trustee shall exercise such powers in good faith, with reasonable care, and in accordance with the investment objective and restrictions set forth herein.

Accounting, Reporting and Valuation

The Trustee shall maintain complete and accurate accounts of all Trust transactions. The Trustee shall deliver to the Settlor and to each Beneficiary periodic accountings in accordance with the reporting frequency set forth below.

Fees, Expenses and Compensation

The Trustee is entitled to reasonable compensation for services rendered and to reimbursement for expenses properly incurred in the administration of the Trust. Compensation shall be paid as follows:

Limitation of Liability; Indemnification

The Trustee shall not be liable for any loss or depreciation in value of Trust Property resulting from investments made in good faith or from any action taken or omitted in good faith, except for losses resulting from the Trustee’s own gross negligence, willful misconduct or bad faith. The Trust shall indemnify and hold the Trustee harmless from and against all liabilities, costs and expenses reasonably incurred in connection with the administration of the Trust, except to the extent resulting from the Trustee’s gross negligence, willful misconduct or bad faith.

Termination; Distribution on Termination

The Trust shall terminate upon the earliest of: (a) the date specified in this Agreement for termination; (b) the occurrence of an event described in the Trust's distribution schedule; or (c) unanimous written agreement of Settlor and Trustee. Upon termination the Trustee shall liquidate Trust Property and distribute the net proceeds to Beneficiaries in accordance with the distribution provisions.

Amendment

This Agreement may be amended only by a written instrument signed by both the Settlor and the Trustee. No amendment shall materially impair the interests of any Beneficiary without that Beneficiary's written consent.

Notices

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the courts of that state for any disputes arising under or relating to this Agreement.

Tax Matters

The Trustee shall file or cause to be filed all tax returns required for the Trust and shall provide Beneficiaries with such information as is required for their tax reporting. The Trustee shall not be liable for tax consequences to Beneficiaries beyond those required by law and this Agreement.

Miscellaneous

The Trustee hereby accepts the trust and agrees to perform the duties and exercise the powers conferred by this Agreement in accordance with its terms.
