This invoice and any dispute arising out of or relating to it shall be governed by the laws of the state or jurisdiction of Governing Law: without regard to conflict of laws principles.

Entire Agreement

This invoice, together with any referenced purchase order or work authorization and the line items set forth herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
