This invoice evidences an obligation of the Client to pay the Total Due to the Issuer in accordance with the Payment Terms set forth above. Payment not received by the Due Date shall incur a late fee at the rate specified below and interest thereafter. The Client must notify the Issuer in writing of any invoice dispute within 15 calendar days of the Invoice Date; failure to timely notify shall constitute a waiver of any disputed claim. The Client remains liable for undisputed amounts and any collection costs, including reasonable attorneys’ fees, incurred by the Issuer in enforcing payment.

Governing law: This Invoice and any dispute arising under it shall be governed by the laws of the jurisdiction of the Issuer, without regard to conflict of laws principles. The Issuer may suspend performance or deliverables for nonpayment and pursue all available remedies.
