Independent Service Provider (ISP) Details

Recitals

WHEREAS, Client Name: requires services described herein from an independent service provider; and

WHEREAS, Independent Service Provider Name: represents that it has the skills, personnel, equipment and insurance necessary to provide such services in accordance with the terms of this Agreement effective as of .

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:

Scope of Work

ISP shall provide the services described in this section and any attachments. The description below constitutes the primary scope; any material change to scope shall require written amendment signed by both parties.

Payment Terms

Compensation shall be paid as set forth below. Unless otherwise stated, amounts are payable in U.S. dollars and exclusive of applicable taxes.

Fee Basis:

All invoices shall include reasonable detail of work performed. If Client disputes an invoice in good faith, Client shall provide written notice within seven (7) days and the parties shall promptly attempt to resolve the dispute; undisputed portions shall remain payable when due.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice of breach.

Upon termination, ISP shall deliver all work-in-progress and Client shall pay for services performed through the effective date of termination in accordance with Payment Terms.

Confidentiality

Each party may disclose Confidential Information to the other. "Confidential Information" means non-public information disclosed by one party to the other, including technical data, business plans, customer lists, pricing, and other proprietary information. The recipient shall: (a) hold the Confidential Information in strict confidence; (b) not disclose it to any third party except to its employees, agents or subcontractors on a need-to-know basis who are bound to protect confidentiality; and (c) use Confidential Information only to perform under this Agreement.

Confidential Information does not include information that is or becomes generally known through no breach by the recipient, that is rightfully received from a third party without restriction, that is independently developed, or that must be disclosed by law (provided recipient gives prompt notice to allow the disclosing party to seek protective relief).

Upon termination or request, the recipient shall return or destroy the disclosing party's Confidential Information and certify in writing that it has done so.

Compliance; Insurance

ISP represents and warrants that it shall comply with all applicable laws, regulations and codes in performing services, and will maintain, at its expense, insurance coverage appropriate to the services described, including, where applicable, commercial general liability and workers' compensation insurance in amounts sufficient to cover claims arising from ISP's performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to that State's conflict of laws principles.

Entire Agreement; Amendments

This document, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
