ISP SIGNED AGREEMENT

This Independent Service Provider Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (hereinafter "Client") and Service Provider Name: (hereinafter "Service Provider"). Client and Service Provider are sometimes individually referred to as a Party and collectively as the Parties.

RECITALS

WHEREAS, Service Provider possesses professional skills, experience and resources to perform the services described below; and

WHEREAS, Client desires to engage Service Provider to perform such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows.

SCOPE OF WORK

Service Provider shall perform the services specified above in a professional and workmanlike manner, consistent with industry standards. Any material change to the Scope of Work shall be documented in a written amendment signed by both Parties.

PAYMENT TERMS

Unless otherwise specified, invoices are due within 30 days of receipt. If any invoice is not paid when due, Service Provider may suspend performance after providing 10 days' prior written notice. Client shall be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each Party acknowledges that in the course of performance it may receive Confidential Information of the other Party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, agents or contractors who need such information to perform the Agreement and who are bound by confidentiality obligations no less protective than those herein; and (c) return or destroy Confidential Information upon termination or request. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall remain protected as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments signed by both Parties, constitutes the entire agreement between the Parties relating to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No modification shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
