IT Network Support Agreement

Parties

Recitals

WHEREAS, Provider is duly organized and experienced in the provision of information technology network support, maintenance, monitoring, and related professional services; and

WHEREAS, Client desires to engage Provider to perform network support services for Client's information technology infrastructure under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows.

Effective Date

This Agreement is effective as of (the Effective Date).

Scope of Work

Provider shall supply IT network support services as described below. Provider will perform such services in a professional manner consistent with industry standards and in accordance with the service levels set forth in this Agreement.

Standard services include: remote monitoring and management, preventative maintenance, patch management, firewall and router configuration, network troubleshooting, and support for wired and wireless LAN/WAN infrastructure. On-site visits will be performed as required and set forth in the service schedule below. Excluded services include application development, hardware warranty repair covered by third-party manufacturers, and consumable supplies unless otherwise agreed in writing.

Service Levels

Provider shall use commercially reasonable efforts to meet the following response and resolution targets depending on incident severity. Response time: . Target resolution time will be agreed per incident based on severity and complexity.

Payment Terms

Client shall pay Provider for services as follows.

Invoices are due within days of receipt. Late payments shall incur interest at % per month (or the maximum permitted by law), calculated monthly on the outstanding balance.

Term and Termination

The Term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon prior written notice. Either Party may terminate for material breach if the breaching Party fails to cure the breach within thirty (30) days after written notice. Termination of this Agreement shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

Confidentiality

"Confidential Information" means all non-public business, technical, financial and operational information disclosed by one Party to the other that is marked confidential or would reasonably be considered confidential. The receiving Party shall (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those hereunder. Confidentiality obligations survive termination for a period of years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Limitation of Liability and Indemnification

Except for willful misconduct or gross negligence, neither Party shall be liable for incidental, consequential, special or punitive damages. Provider's aggregate liability arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) month period preceding the claim. Client shall indemnify Provider for claims arising from Client's negligence, misuse of systems, or breach of this Agreement; Provider shall indemnify Client for Provider's negligence in performing the services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both Parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the other's prior written consent, except to a successor in connection with a merger or sale of substantially all assets. Notices shall be given in writing to the contact addresses set forth above.
