All payments are due within days of receipt of a proper invoice. Late payments are subject to interest at unless otherwise agreed in writing.

Change orders require written approval by authorized representatives of both parties prior to implementation.

Confidentiality

Each party shall maintain in confidence all confidential information disclosed by the other party and shall not disclose such information to third parties except as required by law. Confidential information does not include information that is or becomes publicly available through no breach of this Contract, or that is independently developed by the receiving party.

Intellectual Property

Unless otherwise agreed in writing, all right, title and interest in deliverables, including copyrights and other intellectual property rights, shall be assigned to the Client upon full payment of all sums due under this Contract. Provider grants Client a perpetual, worldwide, royalty-free license to use any pre-existing Provider materials incorporated in deliverables solely to the extent necessary to use the deliverables for their intended purpose.

Warranties; Limitation of Liability; Indemnity

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards for a period of following acceptance. EXCEPT FOR THAT WARRANTY, SERVICES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES. Each party's aggregate liability under this Contract shall not exceed the total fees paid by Client to Provider under this Contract, except for liability arising from willful misconduct or gross negligence. Provider will indemnify and hold Client harmless against third-party claims arising from Provider's breach of confidentiality, infringement of third-party IP, or negligent performance.

Termination

Either party may terminate this Contract for convenience upon days' prior written notice. Either party may terminate for material breach if the breach remains uncured for days after written notice specifying the breach. Upon termination Client shall pay Provider for all work performed and expenses incurred through the effective date of termination.

Dispute Resolution; Governing Law

The parties shall attempt in good faith to resolve disputes through negotiation between senior representatives. If unresolved within 30 days, disputes will be resolved by binding arbitration in the state of under the rules of the selected forum. This Contract shall be governed by the substantive law of the state identified above.

All notices required or permitted hereunder shall be given in writing and delivered to the addresses below.

Acceptance and Testing

Upon delivery of each deliverable the Client shall have calendar days to perform acceptance testing in accordance with the acceptance criteria. If Client provides written notice of non-conformance, Provider shall remedy the non-conformance within a commercially reasonable period at no additional cost. If no notice is provided within the acceptance period, the deliverable will be deemed accepted.

Taxes; Invoicing

Provider shall invoice Client in accordance with the payment schedule. Unless otherwise stated, invoices shall itemize the work performed and be payable in the currency specified above. Client is responsible for any sales, use, value-added or similar taxes related to payments made hereunder, except taxes based on Provider's net income.
