Change Orders

Any change to scope, schedule or price must be documented in a written change order signed by authorized representatives of both parties. No change order is effective until signed. Change orders shall include description of change, impact on price, and revised schedule.

Intellectual Property & Deliverables

Upon full payment, Service Provider assigns to Client all right, title and interest in the deliverables created specifically for Client under this Contract, except for any pre-existing materials or third-party components identified in writing. Service Provider retains ownership of pre-existing tools, libraries, and methodologies and grants Client a perpetual, worldwide, non-exclusive license to use such pre-existing materials to the extent incorporated into the deliverables.

Warranties, Liability & Indemnity

Service Provider warrants that for a period specified below the deliverables will materially conform to the acceptance criteria. EXCEPT FOR THE EXPRESS WARRANTY STATED HEREIN, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Contract shall not exceed the total fees paid by Client to Service Provider under this Contract. Cap amount:

Data Security & Privacy

Service Provider will implement and maintain administrative, physical and technical safeguards appropriate to the nature of the data processed, including encryption of sensitive data in transit and at rest where applicable. Service Provider will promptly notify Client of any security incident affecting Client data and will cooperate in remediation.

Termination

Either party may terminate this Contract for material breach if the breach remains uncured thirty (30) days after written notice. Upon termination for convenience by Client, Service Provider shall be entitled to payment for work performed and reasonable wind-down costs as specified below.

Insurance & Subcontracting

Service Provider shall maintain insurance customary for contracts of this type, including commercial general liability and professional liability in amounts sufficient to cover claims reasonably anticipated under the Contract.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, or interruptions to internet service, provided that the affected party provides prompt written notice to the other party and uses commercially reasonable efforts to resume performance.

Dispute Resolution & Governing Law

The parties will first attempt to resolve disputes through good faith negotiation between executives. If unresolved within thirty (30) days, disputes will be resolved by final and binding arbitration in accordance with the rules agreed in writing by the parties. Governing law:

Confidentiality

Each party shall treat the other party's confidential information as strictly confidential and shall not disclose such information except as required by law. Confidential information includes but is not limited to trade secrets, business plans, customer data, and source code.

Miscellaneous
