The Service Provider will perform and deliver the following services for the Project described above. Services include all labor, materials, software configuration, testing, documentation, and knowledge transfer expressly stated herein. Services not expressly stated are considered out of scope unless incorporated by written Change Order in accordance with the Change Order Process.

Each deliverable shall be accompanied by acceptance criteria. The Client shall accept or provide documented rejection with remedies within the specified acceptance period. Acceptance is effective when the Client signs a Deliverable Acceptance Form or fails to provide rejection within the acceptance period.

Budget & Payment

The Client will pay the Service Provider in accordance with the payment schedule below. All amounts are in the currency specified by the parties and do not include applicable taxes unless expressly stated.

Invoices are payable within days of invoice receipt unless otherwise agreed in writing. Late payments are subject to interest at the lesser of 1.5% per month or the maximum permitted by law.

Change Order Process

Any change to the Scope, Schedule, or Fees must be documented in a written Change Order and signed by authorized representatives of both parties prior to implementation. Change Orders shall include a description of the change, impact on schedule, and any additional fees. The Service Provider will not proceed with out-of-scope work absent an executed Change Order, except in cases of emergency as authorized in writing by the Client.

Confidentiality

Each party agrees to maintain in confidence all Confidential Information disclosed by the other party in connection with this Agreement. Confidential Information includes source code, system architecture, business plans, customer data, and other proprietary information. Confidential Information shall not be disclosed except to personnel with a need to know or as required by law. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, or longer if required by applicable law or contract.

Warranties; Limitations of Liability

The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly set forth in this Agreement, all warranties are disclaimed. To the maximum extent permitted by law, each party's aggregate liability arising from or related to this Agreement shall not exceed the total fees paid to the Service Provider under this Agreement during the six (6) months preceding the claim. Neither party will be liable for special, incidental, indirect, or consequential damages.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within thirty (30) days after written notice. Upon termination, the Client shall pay for all services performed and expenses incurred to the effective date of termination and for accepted deliverables. Termination does not relieve either party of obligations that by their nature survive termination, including confidentiality and payment obligations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Agreement.

Miscellaneous Provisions

This Agreement, together with any executed Change Orders and attachments, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes prior negotiations, understandings, and agreements. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is found invalid, the remaining provisions remain in full force.
