IT PROJECT TEMPLATE

This IT Project Agreement ("Agreement") is entered into as of the Effective Date set forth below by and between the parties identified herein.

Recitals

WHEREAS, Client requires information technology services and deliverables described in this Agreement, including but not limited to system design, development, testing, deployment, and support; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources to perform the services and deliver the deliverables described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will provide such services and deliverables to Client.

Project Identification

Scope of Work

Service Provider shall perform the services and provide the deliverables described below in accordance with the schedule and acceptance criteria set forth in this Agreement. The Scope of Work shall include all tasks, responsibilities, specifications, and acceptance conditions necessary for the completion of the Project.

Payment Terms

Client shall pay Service Provider for the services rendered and the deliverables delivered in accordance with the following terms.

All invoices are due within days of receipt unless otherwise agreed in writing. Payments shall be made in the currency stated in the invoice.

Term and Termination

This Agreement commences on the Effective Date and, unless earlier terminated in accordance with this section, continues until completion of the services and final acceptance of deliverables.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above after receipt of written notice from the non-breaching party. Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination.

Change Orders

Modifications to the Scope of Work, schedule, or price shall be made only by written change order signed by authorized representatives of both parties. Change orders shall describe the change, impact on schedule, and any adjustment to fees.

Confidentiality

Each party acknowledges that Confidential Information disclosed by the other party shall be kept confidential and used solely for the purposes of performing this Agreement. Confidential Information includes non-public business, technical, and financial information, but excludes information that (i) is or becomes publicly available without breach, (ii) is rightfully received from a third party without restriction, (iii) is independently developed without use of Confidential Information, or (iv) is required to be disclosed by law or order of a court or governmental body, provided that the disclosing party is given prompt notice and an opportunity to seek protective measures.

Intellectual Property & License

Unless otherwise agreed in writing, Service Provider retains ownership of pre-existing materials and tools. Upon full payment of all fees due hereunder, Service Provider assigns to Client all right, title, and interest in Project deliverables that are custom-developed for Client under this Agreement. Service Provider shall grant Client a perpetual, non-exclusive license to any Service Provider-owned materials that are necessary for Client's use of the deliverables, subject to any third-party license restrictions disclosed in writing.

Warranties and Liability

Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Notices

Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
