Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may be immediate where the non-breaching party provides written notice and the breach is not cured within the cure period stated in such notice.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other party. "Confidential Information" includes non-public technical, business, and customer information, including system architecture, credentials, and personally identifiable information. Receiving party shall: (a) use Confidential Information solely for performance of this Agreement; (b) restrict access to employees and contractors on a need-to-know basis; and (c) not disclose such information to third parties without prior written consent, except as required by law. These obligations survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as permitted by applicable law.

Data Protection and Access

Service Provider shall implement and maintain administrative, technical and physical safeguards appropriate to the confidentiality, integrity and availability of Client data. Access credentials, privileged accounts, and any changes to client systems shall be logged and provided upon Client request. Any subcontracting of work that involves access to Client data requires Client's prior written consent.

Liability, Insurance and Indemnity

Except as limited by law, each party agrees to indemnify and hold harmless the other from third-party claims arising from its breach or negligent acts. Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services rendered and provide certificates upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law rules. Venue for disputes shall lie in the state or federal courts located within that state.

Entire Agreement

This Request and Agreement, including any attachments and approved change orders, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

Acknowledgements and Certifications

The undersigned certify that they are authorized to request the services described herein and that the information provided is accurate. Client acknowledges that emergency work or out-of-scope services may incur additional charges in accordance with the Payment Terms above, and that Service Provider will obtain Client authorization before proceeding with billable changes except where immediate action is required to prevent material harm.
