IT SERVICES AGREEMENT

This IT Services Agreement (the Agreement) is made effective as of between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing information technology services, including but not limited to system administration, software development, network management and support; and

WHEREAS, Client desires to retain Service Provider to perform the services described in this Agreement and Service Provider is willing to perform such services on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

1. SCOPE OF WORK

Service Provider shall perform IT services as described below. Service Provider will perform the services in a professional and workmanlike manner in accordance with industry standards.

2. TERM AND TERMINATION

This Agreement commences on and will continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective date of termination. Either party may terminate for material breach if such breach is not cured within thirty (30) days after written notice of the breach.

3. PAYMENT TERMS

Client shall pay Service Provider for services performed in accordance with this Agreement. Fees are exclusive of taxes unless otherwise stated.

4. CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party). Confidential Information includes business plans, system designs, technical data, source code, trade secrets, and any information identified as confidential.

The obligations in this section shall not apply to information that is or becomes publicly known through no fault of the Receiving Party or is independently developed without use of Confidential Information.

5. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Client shall own all right, title and interest in and to Deliverables specifically developed for Client under this Agreement, subject to Service Provider's ownership of its preexisting tools, libraries, and know-how. Service Provider hereby assigns to Client all right, title and interest in such Deliverables upon full payment.

6. WARRANTIES; SERVICE LEVELS

Service Provider warrants that services will be performed in a professional manner consistent with generally accepted industry standards. Except as expressly set forth in this Agreement, Service Provider disclaims all other warranties, express or implied.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of its gross negligence, willful misconduct or material breach of this Agreement. Neither party shall be liable for indirect, incidental, consequential, punitive or special damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the fees paid by Client to Service Provider in the twelve (12) months preceding the claim.

8. DATA SECURITY & BREACH NOTIFICATION

Service Provider shall implement reasonable administrative, technical, and physical safeguards appropriate to the nature of the data to protect Client Data. In the event of a security breach affecting Client Data, Service Provider will notify Client within days of discovery and will cooperate in investigation and mitigation.

10. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral.

11. MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor by merger or sale of substantially all assets, provided the assignee assumes all obligations hereunder. If any provision is held invalid, the remaining provisions shall remain in full force.
