IT Services Premium

This IT Services Premium Agreement (the "Agreement") is entered into as of Effective Date: by and between Service Provider: and Client Name:

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing managed information technology services, including network monitoring, system maintenance, security management, backup and recovery, and technical support; and

WHEREAS, Client desires to retain Service Provider to perform premium-level IT services for Client's operations on the terms and conditions set forth herein, and Service Provider is willing to perform such services subject to those terms and conditions.

SCOPE OF WORK

Service Provider shall provide the following Premium Services to Client: proactive 24/7 network and server monitoring; priority helpdesk support with emergency response; scheduled patch management; advanced threat protection and security monitoring; automated backups with retention and recovery verification; monthly performance reporting; and escalation to senior engineers as required. Specific deliverables, milestones, and exclusions are to be set forth below.

PAYMENT TERMS

Client shall pay Service Provider the fees for Premium Services as set forth below. All fees are due and payable in accordance with the agreed billing schedule and are non-refundable except as expressly provided in this Agreement.

All invoices shall set forth services performed, time and materials (if applicable), and applicable taxes. Client shall timely dispute any portion of an invoice in writing within fourteen (14) days of receipt; failure to dispute constitutes acceptance. Unpaid amounts shall accrue interest as specified above and Service Provider may suspend services following ten (10) days' written notice of nonpayment.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing the other party with the notice period set forth above. Either party may terminate immediately for material breach if such breach remains uncured thirty (30) days after written notice. Upon termination, Client shall pay for all services performed and expenses incurred through the effective date of termination. Reasonable early termination fees may apply if a minimum committed term is specified in the Detailed Scope.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). The Receiving Party shall use such Confidential Information solely to perform its obligations under this Agreement, shall restrict access to employees and contractors with a need to know, and shall not disclose such Confidential Information to third parties without the Disclosing Party's prior written consent, except as compelled by law. Confidential Information does not include information that is or becomes public without breach, is known to the Receiving Party prior to disclosure, or is rightfully received from a third party without obligation of confidentiality.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

LIMITATION OF LIABILITY

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, punitive, or indirect damages, and each party's aggregate liability arising out of or relating to this Agreement shall not exceed the fees paid by Client to Service Provider under this Agreement in the preceding twelve (12) months.

ENTIRE AGREEMENT

This Agreement, including any schedules, statements of work, and attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
