IT SERVICES RENEWAL AGREEMENT

This IT Services Renewal Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider: and Client Name: .

WHEREAS

WHEREAS, Service Provider and Client entered into an original IT Services Agreement (the Original Agreement) under which Service Provider provided managed IT services, maintenance, and support to Client; and

WHEREAS, the parties desire to renew and extend the terms of the Original Agreement on the terms set forth in this Renewal Agreement for an additional term as set forth below.

SCOPE OF WORK

Service Provider shall continue to provide the services described in the Original Agreement and the supplemental scope described below. The services shall include, but are not limited to, system monitoring, scheduled maintenance, patch management, helpdesk support, backup verification, and agreed project work.

PAYMENT TERMS

Invoices are due within days of invoice date. Late payments shall accrue interest at the rate of on the unpaid balance, assessed monthly, plus any collection costs incurred by Service Provider.

TERM AND TERMINATION

Renewal Term Commences on and shall continue until unless earlier terminated pursuant to this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receiving written notice. Either party may terminate without cause upon providing days' prior written notice to the other party.

Renewal term will automatically renew for successive terms of months each unless either party provides notice of non-renewal at least days prior to the end of the then-current term.

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" includes non-public business, technical, and financial information, and any other information designated as confidential. Each party shall (a) use Confidential Information solely for performance under this Agreement, (b) restrict disclosure to its employees and contractors having a need to know, and (c) protect such information using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care. Confidential Information shall not include information which is or becomes publicly available other than through a breach of this Agreement, or that which is independently developed or rightfully received from a third party without restriction.

DATA SECURITY AND COMPLIANCE

Service Provider shall maintain reasonable administrative, physical and technical safeguards to protect Client data. Service Provider shall notify Client of any unauthorized access or breach involving Client data promptly and cooperate in remediation. Compliance with applicable data protection laws is the responsibility of the party whose actions trigger such obligations; the parties will cooperate to enable compliance where both have responsibilities.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages, or lost profits, whether arising in contract, tort, negligence or otherwise. The aggregate liability of either party for claims arising out of or relating to this Agreement shall not exceed the fees paid by Client to Service Provider under this Renewal Agreement during the twelve (12) months preceding the event giving rise to the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as either party may designate by notice. Notices shall be deemed delivered when received by hand delivery, commercial overnight courier, or three (3) days after deposit in certified mail.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the parties' selected arbitration procedures, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with the Original Agreement and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all its assets. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
