What an IT Software Agreement Covers and Why it Matters

An IT Software Agreement is a legally binding contract that sets the terms for delivery, licensing, support, and use of software between a vendor and a customer. Typical sections include license grant, permitted use, scope of work or statement of work (SOW), payment and invoicing, service levels and maintenance, intellectual property ownership, confidentiality and data protection, warranties and disclaimers, limitations of liability, indemnities, termination rights, and dispute resolution. Electronic execution is routinely accepted in the United States under federal and state e-signature laws such as the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA statutes.

Why a Clear IT Software Agreement Reduces Risk

A well-drafted IT Software Agreement allocates responsibilities, defines deliverables and acceptance criteria, limits liability, preserves intellectual property rights, and documents support and maintenance obligations. It also creates an auditable record for compliance and dispute resolution. Use an ESIGN/UETA-compliant eSignature provider such as signNow to execute the agreement securely while maintaining a complete audit trail.

Why a Clear IT Software Agreement Reduces Risk

Common Parties Involved and Their Objectives

Typical users include software vendors, enterprise procurement and IT teams, in-house legal counsel, and customers purchasing licenses or services.

  • Software vendors and product managers responsible for licensing, delivery schedules, and warranty obligations.
  • Enterprise procurement and IT teams focused on SLAs, integration requirements, and billing terms.
  • In-house counsel and outside counsel reviewing IP assignment, liability caps, indemnities, and termination language.

Each party’s priorities differ: vendors focus on IP and payment, buyers on scope and uptime, and legal teams on risk allocation and compliance.

Who Signs and What Authority They Need

Vendor Signatory

Chief Legal Officer or authorized contracts manager typically signs for the vendor. Ensure the signer has corporate authority and their title is listed to avoid later challenges to execution authority.

Customer Signatory

Procurement director, VP of IT, or an officer with contract authority signs for the buyer. Include a signature block with printed name, title, and date to confirm execution authority and attribution.

Key Security and Compliance Items to Track

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamped events and activity log
HIPAA BAA: Required for PHI handling
Authentication: Multi-factor or KBA options
Access Control: Role-based permissions
Certifications: SOC 2 Type II, ISO 27001, PCI DSS

Consequences of Poorly Drafted or Incorrect Agreements

Breach Damages: Compensatory and consequential losses
IP Loss: Unclear assignment risks ownership disputes
Regulatory Fines: HIPAA or data-protection penalties
Indemnity Exposure: Broad indemnities increase cost risk
Contract Termination: Service disruption and revenue loss
Enforcement Costs: Litigation and arbitration expenses

Common Drafting and Execution Pitfalls

  • Vague scope and deliverables that lead to disputes over acceptance and additional fees.
  • Missing or ambiguous IP assignment clauses that fail to transfer rights from contractors or contributors.
  • Unclear acceptance criteria or testing procedures that delay payment and project closeout.
  • Failure to include data protection or BAA provisions where protected health information (PHI) is involved.

Step-by-Step: Preparing and Executing an IT Software Agreement

Follow a consistent sequence to reduce risk: clarify scope and pricing, validate legal terms, and use compliant electronic execution and recordkeeping.

  • 01
Draft: Prepare SOW, license, and payment terms clearly
  • 02
Review: Legal and procurement review for risk and compliance
  • 03
Authorize: Obtain internal approvals and designated signatory authority
  • 04
Execute: Use an ESIGN/UETA-compliant eSignature solution and retain the record

How Electronic Execution Typically Works for This Agreement

Electronic signing follows a predictable workflow: upload, place fields, send to signers with appropriate authentication, and store the executed package with an audit trail.

  • Upload Document: Add the finalized agreement PDF or DOCX to the signing platform
  • Add Fields: Place signature, date, and initial fields for each party
  • Send to Signers: Provide email addresses and set authentication level
  • Store Proof: System captures timestamps, IP, and a certificate of completion

Essential Clauses to Include in an IT Software Agreement

A professional agreement anticipates operational, legal, and commercial issues. The following clauses form the contract backbone and reduce ambiguity during delivery and dispute resolution.

License Grant

Define license type, scope, user limits, and any sublicensing rights to avoid unauthorized use or expansion.

Scope of Work

Attach a detailed SOW with milestones, deliverables, acceptance tests, and change-order procedures to control scope creep.

Payment Terms

State fees, billing schedule, late fees, and any escrow or milestone-based payment conditions to clarify financial obligations.

Support & Maintenance

Specify SLA metrics, response windows, update frequency, and remedies for SLA breaches to set service expectations.

Intellectual Property

Allocate ownership of preexisting IP, deliverables, and third-party components; include assignment where required.

Warranties & Limitations

Include limited warranty language, disclaimers, caps on liability, and indemnity scope to balance risk between parties.

Download Options and Supporting Documents to Attach

After execution, preserve the signed agreement in multiple formats and attach relevant exhibits, certificates, and supporting records for a complete file.

Export Formats

Save executed copies as PDF/A for long-term preservation; also keep the native DOCX for amendment history.

Audit Trail

Retain the signer audit log, timestamps, and IP addresses as part of the executed record for enforceability.

Required Exhibits

Attach SOWs, pricing schedules, third-party license lists, and data processing addenda as enforceable exhibits.

Compliance Attachments

Include BAAs, security questionnaires, and certification statements when data protection or regulated data is involved.

Practical Tips to Reduce Negotiation Time and Execution Errors

Adopt standard templates, clear definitions, and a single source of truth for exhibits to speed review and signing while reducing rework.

Use a Master Agreement
Maintain a master software agreement with modular SOWs so only scope and pricing change between deals, shortening review cycles.
Standardize Definitions
Consistent definitions for terms like 'Deliverable', 'Acceptance', and 'Confidential Information' reduce ambiguity in performance and dispute contexts.
Limit Open-Ended Remedies
Avoid unlimited indemnities or uncapped consequential damages unless commercially negotiated and insured.
Require Complete Exhibits
Attach complete SOWs and schedules at signing; avoid placeholders that invite later disagreement about obligations.

Key Dates and Timing to Record in the Agreement

Document these dates clearly to avoid ambiguity around obligations, invoicing, renewals, and termination notice periods.

Effective Date:

Date when rights and obligations commence; use MM/DD/YYYY format

Delivery Milestones:

List milestone dates and acceptance windows for each deliverable

Acceptance Period:

State the testing and acceptance timeframe after delivery

Payment Due Dates:

Specify invoice terms and late-payment penalties

Renewal Notice:

State notice period for automatic renewal or termination
