IT SUPPORT AGREEMENT

This IT Support Agreement (the Agreement) is made effective as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client operates business systems that require ongoing information technology support, maintenance, and incident response; and

WHEREAS, Provider has expertise and resources to provide IT support, including remote diagnostics, on-site services, and system administration, and agrees to provide such services to Client under the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Provider shall provide IT support services to Client as described in the Scope of Work. Services may include but are not limited to: helpdesk support, server and network maintenance, software updates, security patching, backup verification, and problem resolution. The specific deliverables, service windows, and exclusions are described below and in any attached appendices.

2. SERVICE LEVELS

Provider shall respond to incidents in accordance with the following response times measured from Client's initial contact or ticket creation. Response times may vary by severity level as indicated below.

3. PAYMENT TERMS

Client shall pay Provider the fees set forth below in consideration for the Services. All fees are due in United States dollars unless otherwise agreed in writing.

4. TERM AND TERMINATION

This Agreement shall commence on Start Date and continue until End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breach is not cured within the notice period specified above. Provider may suspend services for nonpayment after providing at least five (5) business days' written notice.

5. CONFIDENTIALITY

Each party (the Recipient) shall hold in strict confidence all non-public information disclosed by the other party (the Discloser) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information includes, without limitation, trade secrets, system credentials, network diagrams, and customer data. Recipient shall not use Confidential Information except to perform its obligations under this Agreement, and shall restrict disclosure to employees, subcontractors, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The obligations of confidentiality do not apply to information that (a) is or becomes publicly available through no fault of Recipient, (b) was rightfully in Recipient's possession prior to disclosure, (c) is independently developed by Recipient, or (d) is required to be disclosed by law or regulation, provided Recipient gives Discloser prompt notice and cooperates with Discloser to seek protection or a confidential treatment of such disclosure.

6. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, the aggregate liability of Provider to Client for any and all claims arising out of or relating to this Agreement shall not exceed the greater of (i) the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim, or (ii) .

7. INSURANCE AND COMPLIANCE

Provider shall maintain insurance coverage reasonably consistent with industry standards, including commercial general liability and professional liability/errors & omissions insurance. Provider shall comply with applicable laws and regulations in the performance of its obligations under this Agreement.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement, together with any attachments or appendices executed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contacts below by hand, overnight courier, or certified mail (return receipt requested), or by a nationally recognized electronic delivery method when receipt can be verified.

11. MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The parties are independent contractors; nothing in this Agreement creates an employer-employee, joint venture, or agency relationship. Subcontracting by Provider is permitted provided that Provider remains responsible for performance and confidentiality obligations.
