CONFIDENTIALITY

Each party shall keep confidential all information received from the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose it to third parties except to employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that (i) is or becomes publicly available through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without use of the other's Confidential Information.

WARRANTIES, LIMITATIONS & REMEDIES

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. Except for the foregoing warranty, services are provided "as is" and Service Provider expressly disclaims all other warranties, whether express or implied. In no event shall Service Provider be liable for incidental, consequential, special or punitive damages, and Client's sole and exclusive remedy for breach shall be limited to re-performance of defective services or, at Service Provider's option, refund of fees paid for the specific services at issue.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attached work orders or purchase authorizations executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

Client hereby authorizes Service Provider to perform the services described above and to install or replace parts as necessary.
