ITEM QUALIFICATION FORM

This Item Qualification Form (the Agreement) is made as of by and between Company Name: with principal address and Supplier Name: with principal address .

WHEREAS

WHEREAS Company requires that certain goods and components be qualified prior to acceptance and integration into Company's supply chain; and

WHEREAS Supplier represents that it produces, supplies, and will provide access to the items described below for inspection, testing, and qualification in accordance with the terms set forth herein; and

WHEREAS the parties desire to set forth the scope, acceptance criteria, payment structure, confidentiality obligations, and governing law applicable to the item qualification activities.

SCOPE OF WORK

The parties agree that Supplier shall furnish items, documentation, and reasonable access to testing samples and facilities to enable Company to conduct inspections, tests, and validation necessary to determine whether items meet the qualification criteria set forth herein. Details of required tests, inspection points, sample sizes, and acceptance thresholds shall be described below.

PAYMENT TERMS

Company shall pay Supplier for activities performed under this Agreement as described below. All fees are exclusive of taxes unless otherwise stated. Supplier shall submit invoices in accordance with the payment schedule and Company will remit payment in accordance with the schedule below, subject to acceptance of completed qualification deliverables.

TERM AND TERMINATION

This Agreement commences on the date first written above and continues until the later of completion of the qualification activities or the end date below, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach where the breaching party fails to cure within the notice period set forth above. Termination for cause shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall treat as Confidential Information all technical, commercial, and business information disclosed in connection with the qualification activities, including test data, specifications, processes, and results. Confidential Information shall not be disclosed except to employees, agents, or contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including any attached item schedules and qualification notes expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
