What the IYUNO AOR Agreement Is

The IYUNO AOR Agreement (Agent of Record Agreement) documents the appointment of IYUNO or a designated representative to act as an agent for localization, subtitling, dubbing, or related media services on behalf of a client. It defines the parties, scope of authority, responsibilities, payment terms, intellectual property treatment, confidentiality obligations, and termination rights. The agreement can be used between content owners, distributors, and IYUNO to clarify who manages project acceptance, invoicing, and delivery. Proper execution ensures a clear chain of responsibility for content localization and rights management.

Why an IYUNO AOR Agreement Matters

A written AOR Agreement reduces ambiguity about who may approve work, bill clients, or accept deliverables, and it records allocation of rights, confidentiality expectations, and payment terms.

Why an IYUNO AOR Agreement Matters

Who Typically Signs or Completes the Agreement

The IYUNO AOR Agreement is completed by parties responsible for contracting and operational oversight within content, localization, or distribution organizations.

  • In-house legal or contracts teams responsible for vendor appointments and IP safeguards.
  • Procurement or vendor managers handling billing, purchase orders, and service-level terms.
  • Project leads or operations managers authorized to accept localization deliverables and scope changes.

Confirm signatories have authority to bind their organization and that any delegated approvers are identified in writing to avoid disputes.

Essential Sections to Include in a Professional AOR Agreement

A complete agreement combines business terms with operational detail so both parties understand rights, duties, and escalation paths for disputes and quality issues.

Parties & Definitions

Clearly name the contracting entities, define 'Agent of Record', 'Services', 'Deliverables', and any capitalized terms used throughout the agreement to avoid ambiguity and aid enforceability.

Scope of Authority

Specify the agent's exact authorities (e.g., approve subtitling, request rework, sign acceptance certificates, handle invoicing) and any limits or required client approvals for material changes.

Payment and Invoicing

Set billing intervals, currency, invoice requirements, late fees, and who is responsible for taxes or withholding; include procedures for disputed invoices and timeline for dispute resolutions.

Intellectual Property

Address ownership of translations, derivative works, licensing terms, and any assignment of copyright or license back to the client upon payment and acceptance.

Confidentiality & Data Security

Include nondisclosure provisions, permitted disclosures, data handling requirements, and any industry-specific protections such as HIPAA language when applicable.

Termination & Remedies

Define termination events, notice periods, transition obligations, return or destruction of materials, and liability caps or indemnity terms for breaches.
