What a Janitorial Service Agreement Is and When to Use It

A Janitorial Service Agreement is a written contract that defines cleaning services, schedules, payment, responsibilities, and liability between a facility owner or manager and a service provider. It sets the scope of work, performance standards, access and security rules, insurance and bonding requirements, and termination conditions. For businesses, property managers, schools, healthcare facilities, and construction sites, the agreement reduces disputes by documenting expectations, clarifying pricing and invoicing, and assigning risk for property damage, theft, worker injury, and subcontractor use.

Why a Written Agreement Matters for Cleaning Services

A clear Janitorial Service Agreement reduces operational risk by defining performance standards, service intervals, pricing, and dispute processes, which helps avoid misunderstandings and costly litigation.

Why a Written Agreement Matters for Cleaning Services

Who Typically Prepares and Signs These Agreements

Multiple parties rely on a Janitorial Service Agreement to manage expectations and legal risk.

  • Property managers and building owners who need consistent cleaning, liability protection, and vendor accountability.
  • Facility or office managers organizing recurring services and budgeted cleaning schedules for tenants or staff.
  • Third-party cleaning companies and subcontractors documenting scope, payment terms, and insurance obligations.

Each party should review insurance, indemnity, and termination clauses carefully and confirm authorized signatories before execution.

Step-by-Step: Completing a Janitorial Service Agreement

Follow these core steps to produce a usable, enforceable contract and hand it to both parties for signature.

  • 01
Draft: Define scope, schedule, and pricing in detail.
  • 02
Review: Confirm insurance, licensing, and background checks if required.
  • 03
Negotiate: Agree on payment, remedies, and notice provisions.
  • 04
Sign: Have authorized representatives sign and date the agreement.

Configuring an Online Completion Workflow

Set up a digital workflow for filling, reviewing, and e-signing to accelerate execution and preserve an audit trail.

Field Configuration
Signer Order Sequential or parallel routing based on approvals needed
Required Fields Mark name, date, signature, insurance fields as mandatory
Authentication Choose email, SMS, or stronger methods for critical accounts
Notifications Enable reminders and completion receipts for all parties

Typical Routing: From Draft to Stored Agreement

A standard execution flow reduces friction and ensures record integrity from negotiation through retention.

  • Upload: Upload the template or completed PDF to your platform.
  • Prepare: Add signature, initial, and date fields where appropriate.
  • Send: Route to signers with authentication and reminders.
  • Archive: Save signed agreement with audit trail and certificates.

Technical Considerations for eSigning and eSubmission

Choose a platform that supports your authentication, compliance, and storage needs.

  • Document Formats: Support for PDF and DOCX is essential.
  • Integrations: Connectors for Microsoft 365, Google Workspace, or property systems reduce manual work.
  • Security: Encryption and audit trails protect integrity and proof of signing.

Ensure the provider can execute the required authentication and retention policies for your industry and jurisdiction.

Core Clauses Every Professional Janitorial Agreement Should Include

Use these six components as the backbone of a robust janitorial contract to manage performance, liability, and payment.

Scope of Services

A detailed list of tasks, areas to be serviced, frequency of visits, and any seasonal or one-time services to eliminate ambiguity.

Performance Standards

Specify measurable standards, inspection procedures, corrective action timelines, and remedies for repeated noncompliance.

Payment and Invoicing

State rates, billing frequency, due dates, late fees, and who pays for consumables or special supplies when applicable.

Insurance Requirements

Require general liability, workers' compensation, and limits; request certificates of insurance and name additional insureds if needed.

Termination

Define notice periods, cure windows for breach, and obligations on contract end, including final invoice and property return.

Confidentiality and Access

Address keys, access codes, background checks, confidentiality of sensitive areas, and procedures for lost keys or security incidents.

Essential Information to Collect in the Agreement

Party Names: Full legal entity names
Service Location: Address and access details
Service Schedule: Days and times of service
Payment Terms: Amount and due dates
Insurance Limits: Types and coverage amounts
Authorized Signers: Name and title of signatory

Common Preparation Errors to Avoid

  • Vague scopes of work that omit routinely expected tasks and lead to disputes over additional charges.
  • Failing to require certificates of insurance before the first service visit, increasing liability exposure.
  • Not specifying access protocols or security clearances for evening or after-hours service providers.
  • Missing termination or cure periods, which can make removing a nonperforming vendor slow and costly.

Risks and Consequences of an Incomplete or Incorrect Agreement

Nonpayment Disputes: Late collections and legal fees
Liability Exposure: Claims for property damage or injury
Regulatory Issues: Violations if healthcare rules apply
Tax Reporting: Incorrect 1099 treatment
Loss of Access: Denied site access after termination
Contract Voidance: Ambiguous terms may weaken enforceability

Typical Timing and Notice Requirements

Establish clear timing for service start, payment cycles, and termination to prevent administrative confusion.

Effective Date:

Date services begin and obligations take effect

Invoicing Cycle:

Monthly or as specified; include submission deadlines

Payment Terms:

Commonly Net 30 unless otherwise agreed

Termination Notice:

Typically 30 days' written notice or as negotiated

Insurance Renewal:

Require proof before policy expiration
