Recitals

WHEREAS, Supplier is engaged in the business of manufacturing, supplying and delivering janitorial products, cleaning chemicals, paper products, and related supplies suitable for commercial and institutional use; and

WHEREAS, Customer desires to purchase certain janitorial supplies from Supplier pursuant to the terms and conditions set forth in this Order Form and Supplier agrees to supply the ordered items subject to such terms; and

WHEREAS, the parties intend this document to serve both as an order and as the controlling agreement for the supply and purchase of the items specified below, governing payment, delivery, inspection, confidentiality, and termination.

Scope of Work and Itemized Order

Supplier shall furnish, package and deliver janitorial supplies as described below in accordance with the quantities, unit prices and delivery terms specified. Any substitution of items or changes to quantities requires prior written acceptance by Customer.

All amounts are payable in legal tender of the United States unless otherwise agreed in writing. Customer shall be responsible for reasonable collection costs and attorney fees incurred in collecting overdue amounts.

Customer shall inspect delivered goods within business days of receipt and must notify Supplier in writing of any nonconformity or shortage. Failure to timely notify constitutes acceptance.

Term and Termination

This Order is effective as of the Order Date and continues until completion of Supplier's obligations hereunder unless earlier terminated as set forth below. Start Date: End Date (if applicable):

Either party may terminate this Order for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination for convenience by Customer requires days prior written notice and payment to Supplier for all accepted goods and reasonable costs incurred prior to termination.

Confidentiality

Each party shall keep confidential and shall not disclose to third parties any nonpublic business, technical or pricing information disclosed by the other party in connection with this Order ("Confidential Information"), except as necessary to perform this Order or as required by law. Confidential Information shall be used only for performance and enforcement of this Order. Confidential obligations survive termination for a period of two (2) years.

Warranties; Limitation of Liability

Supplier warrants that supplied goods conform to the specifications in this Order and are free from material defects for a period of ninety (90) days from delivery. Customer's sole and exclusive remedy for breach of warranty is repair, replacement, or refund of the purchase price for defective goods, at Supplier's election. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages, and liability shall be limited to direct damages not to exceed the total amount paid under this Order.

Governing Law; Entire Agreement

This Order shall be governed by and construed in accordance with the laws of the state specified by the parties. Parties submit to the exclusive jurisdiction of the courts serving that state for any dispute arising under this Order. This document, together with any attachments or accepted purchase order references, constitutes the entire agreement between Supplier and Customer with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral.

Miscellaneous Provisions

Force Majeure: Neither party shall be liable for delay or failure to perform due to causes beyond reasonable control, including but not limited to acts of God, labor disputes, shortages, transportation delays, embargoes, or governmental actions. Assignment: Neither party may assign this Order without the prior written consent of the other, except assignment to an affiliate or successor in connection with a merger or sale of substantially all assets.
