JEWELRY SALES AGREEMENT

This Jewelry Sales Agreement ("Agreement") is entered into by and between Seller: with principal address at and Buyer: with principal address at .

RECITALS

WHEREAS, Seller is engaged in the business of selling fine jewelry and represents that Seller is the lawful owner of the items described in this Agreement and has full right and authority to sell such items; and

WHEREAS, Buyer desires to purchase, and Seller agrees to sell, the jewelry items described herein on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that this Agreement set forth all material terms of the sale and allocation of risk, payment, delivery, and warranties with respect to the items sold.

SCOPE OF SALE

The following items are sold under this Agreement (collectively, "Items"). Each Item shall be described, tested, and delivered in the condition and with the attributes set forth below.

Late Payment: Any past-due amount shall incur a late fee of or the maximum permitted by law, measured monthly and compounded monthly. Buyer shall also be responsible for reasonable collection costs and attorneys' fees incurred by Seller in enforcing payment.

DELIVERY, RISK OF LOSS, AND INSPECTION

Delivery shall be made to Buyer at the address specified above unless otherwise agreed in writing. Risk of loss and title shall pass from Seller to Buyer upon delivery and Buyer's physical receipt of the Items, except where Seller agrees to insure during transit. Buyer shall inspect Items promptly on receipt and must notify Seller in writing within of any nonconformity or defect; failure to so notify constitutes acceptance.

WARRANTIES AND REPRESENTATIONS

Seller represents and warrants that, at the time of sale, Seller has good and marketable title to the Items, free of any liens or encumbrances, and that Item descriptions (including metal, gemstone weight, and any grading information) are true and accurate to the best of Seller's knowledge. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

CONFIDENTIALITY

The parties acknowledge that terms, pricing, appraisals, and any non-public information exchanged in connection with this Agreement are Confidential Information. Each party agrees not to disclose Confidential Information to third parties except as required by law or with the prior written consent of the other party. This obligation shall survive termination of this Agreement for a period of three (3) years.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date: and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Upon termination, Buyer shall return any non-paid Items to Seller and Seller shall refund any unearned prepaid amounts, less reasonable costs and documented damages resulting from Buyer's breach.

LIMITATION OF REMEDIES

Except for claims based on willful misconduct or fraud, Seller's aggregate liability arising out of or related to this Agreement shall not exceed the Purchase Price paid for the affected Items. In no event shall either party be liable for incidental, consequential, or punitive damages.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising out of this Agreement shall be resolved by binding arbitration in the county where Seller's principal place of business is located, unless the parties mutually agree otherwise.

ENTIRE AGREEMENT

This Agreement (including all exhibits and attachments executed by the parties) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for reference only and shall not affect interpretation.
