Unless otherwise agreed in writing, employment or engagement is at-will and either party may terminate the relationship at any time for any lawful reason by providing the notice described above. Upon termination Applicant must promptly return all Employer property and materials.

Confidentiality

Applicant acknowledges that during the course of evaluation and any subsequent engagement Applicant may receive or create confidential or proprietary information of Employer, including but not limited to trade secrets, client lists, pricing, technical information, business plans, and personnel records ("Confidential Information"). Applicant agrees not to disclose, use, copy, reproduce, or distribute Confidential Information except as necessary to perform authorized duties for Employer. This obligation survives termination of any engagement and continues until Confidential Information becomes publicly known through no fault of Applicant.

Applicant certifies that all information provided in this document and any attachments is true, accurate, and complete to the best of Applicant's knowledge. Applicant authorizes Employer to verify any statement contained herein, including education, employment history, and references, and to obtain criminal, credit, or other background information where permitted by law.

Governing Law

Entire Agreement
