Employment Agreement — Recitals

WHEREAS, Company Name: is considering the engagement of the applicant for employment; and

Either party may terminate employment for any lawful reason upon giving written notice to the other party. Required notice period: days. Termination for cause may be immediate where the terminating party provides written notice describing the cause. Confidentiality

Applicant acknowledges that during the course of employment the Applicant may have access to confidential, proprietary, or trade secret information of the Company. Applicant agrees to hold such information in strict confidence and not to disclose or use such information except as required in the scope of the Applicant’s duties. This obligation of confidentiality survives termination of employment for a period of three (3) years except as otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: without regard to choice-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Entire Agreement

This document, together with any written job description and accompanying schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, representations, and warranties, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
