Practical practices to avoid disputes and speed processing

Follow these recommendations to keep COD jobs compliant and auditable.

Confirm taxpayer identification early
Request a completed W-9 from payees before the first COD payment. Accurate TINs prevent backup withholding and ensure correct 1099 reporting to the IRS under IRC requirements.
Standardize payment terms and limits
Define maximum COD amounts, acceptable payment methods, and card acceptance rules. Clear terms reduce refusals and reduce on-site friction during delivery or service completion.
Capture identity and receipt evidence
Record ID, delivery photo, and payment receipt at the time of collection. These items establish proof of fulfillment and reduce chargeback or collection disputes.
Keep an immutable audit trail
Use timestamped signing events and retention policies to preserve the record of who signed and when; this supports enforceability under ESIGN/UETA.

Key timing and reporting deadlines to remember

Timely collection and reporting reduce tax and compliance risk; use these standard reference deadlines.

Provide W-9 on request:

Supply a completed W-9 when requested by a payer; there is no fixed federal filing deadline for W-9s.

1099-NEC reporting:

Report nonemployee compensation by January 31 to recipients and the IRS.

Retain I-9 documents:

Keep employment verification forms per 8 CFR §274a.2 retention rules.

Payment at delivery:

Collect COD payment at the time of delivery or as specified in the form’s payment terms.

Tax return filing:

Use standard return deadlines, e.g., Form 1040 due April 15 unless extended.

Security and compliance controls to apply to COD forms

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit logs: Immutable timestamps, IP, and action history
Access controls: Role-based permissions and MFA for administrators
Certifications: SOC 2 Type II and ISO 27001 available
Regulatory support: ESIGN, UETA, and 21 CFR Part 11 compliance
Healthcare data: HIPAA compliance available with a BAA

Common penalties and legal risks to avoid

Incorrect TIN: Backup withholding may apply at 24% and result in reporting issues
Late 1099 filing: Penalties range from $60 to $330 per form under IRC §6721
I-9 noncompliance: Fines can range from $281 to $2,789 per violation
Intentional disregard: Higher penalties apply with no maximum under IRC rules
Invalid signature: Missing intent or attribution can void enforceability under ESIGN
Insufficient retention: Failure to retain records can impair audits and legal defenses
