Recitals

WHEREAS, Client requires the services described in this Job Confirmation Form to be performed at the Project Location and has selected Service Provider based on Service Provider's representations, experience, and capacity to perform; and

WHEREAS, Service Provider agrees to perform the work in accordance with the terms and conditions set forth herein, including but not limited to the Scope of Work, Payment Terms, and applicable timelines; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this document, the parties confirm and agree as follows:

Scope of Work

Service Provider shall furnish all labor, materials, equipment, supervision, and services necessary to complete the work described below in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider the Total Fee as set forth below. All amounts are payable in U.S. dollars and are exclusive of applicable sales, use, and other taxes for which Client is responsible unless otherwise stated.

Late payments shall incur a late fee equal to the greater of a fixed fee or percentage of the unpaid balance as set below. Interest and fees shall accrue from the date the payment is due until paid.

Term and Termination

This Job Confirmation is effective as of the Start Date and shall continue until the Completion Date unless earlier terminated in accordance with this section.

Either party may terminate this confirmation for material breach by the other party if the breach is not cured within the cure period following written notice. Additional termination rights may apply where specified below.

Confidentiality

Each party shall protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and shall not disclose such information except as required to perform this Job, to its employees or contractors on a need-to-know basis, or as required by law provided advance notice is given where permitted.

Liability and Insurance

Service Provider shall maintain commercially reasonable insurance coverage for liabilities arising out of performance of the work. Except as required by law, neither party shall be liable to the other for consequential, incidental, or punitive damages. The parties' aggregate liability for direct damages arising from this Job Confirmation shall be limited to the Total Fee paid under this confirmation.

Governing Law

This Job Confirmation shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles.

Entire Agreement

This document, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.
