This Job Designation Form is made between the following parties:

RECITALS

CONFIDENTIALITY

The Employee shall hold in strict confidence all proprietary, confidential, and trade secret information of the Company disclosed or learned in connection with the designation. The Employee shall not disclose, use, or permit the use of such information except as required to perform duties for the Company. This obligation survives termination of the designation for a period of three (3) years, or longer where provided by law.

This Form shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Company's principal place of business is located, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Form constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions, agreements, and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.
