JOB FINAL APPLICATION AND EMPLOYMENT AGREEMENT

Recitals

WHEREAS, Employer: desires to engage Applicant to perform employment services on the terms set forth herein; and

WHEREAS, Applicant: has completed pre-employment screening and submits this final application to memorialize the terms of engagement and the applicant's certifications and consents.

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows.

The Applicant shall perform the duties described below. The duties, responsibilities, and performance standards may be amended by mutual written agreement or as reasonably required by Employer.

Payment Terms

Compensation payable to Applicant is set forth below. For applicants classified as employees, statutory payroll deductions will apply; for contractors, taxes are the responsibility of the contractor unless otherwise agreed in writing.

Late Payment: For contractor invoices or amounts due to Applicant that remain unpaid beyond 30 days after invoicing, unpaid balances shall accrue a late fee of per month, or the maximum allowed by law, whichever is less.

Term and Termination

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing the other party written notice not less than days prior to the effective termination date. Employer may terminate immediately for cause, including material breach, violation of company policy, theft, dishonesty, or other lawful cause.

Confidentiality

Applicant will have access to confidential and proprietary information of Employer. Applicant agrees that during the term of engagement and thereafter, Applicant shall not disclose, use, copy, or permit access to Confidential Information except as required to perform duties for Employer. "Confidential Information" includes business plans, financial information, client lists, trade secrets, and other non-public information. Applicant shall take reasonable measures to protect Confidential Information and shall return all materials upon termination.

Background Checks and Authorizations

Applicant hereby certifies the accuracy of all information provided herein and authorizes Employer to verify all statements, to obtain references, to conduct criminal background checks, education verification, and employment history checks as permitted by law.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which Employer maintains its principal place of business, without regard to choice of law principles. This document, together with any attachments executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No modification of this Agreement shall be effective unless in a writing signed by both parties.
