Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes non-public technical, financial, business and contractual information. The recipient shall: (a) hold Confidential Information in strict confidence; (b) use such information solely for the purposes of performing under this agreement; and (c) disclose such information only to employees, contractors or agents who have a need to know and are bound by obligations of confidentiality no less protective than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of the recipient, is lawfully received from a third party without restriction, or is independently developed by the recipient.

Breach of confidentiality shall entitle the disclosing party to injunctive relief in addition to any other remedies at law or in equity.

Representations, Warranties and Indemnity

Applicant represents and warrants that all work performed will be of professional quality, in accordance with industry standards, and in compliance with applicable statutes, codes, ordinances and permit requirements. Applicant shall indemnify, defend and hold harmless Client from and against claims, liabilities, losses and expenses arising out of Applicant's negligence, willful misconduct or breach of this agreement, except to the extent caused by Client's negligence.

This agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This document, together with any attachments, exhibits and written change orders signed by both parties, constitutes the entire agreement between Client and Applicant and supersedes all prior agreements, representations or understandings, whether written or oral, relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
