WHEREAS, Lessor is engaged in the business of supplying qualified personnel and related workforce services to business clients under lease arrangements and has represented that it is capable of providing suitably trained personnel for positions requested by Lessee; and

WHEREAS, Lessee seeks to obtain from Lessor the lease of personnel for specified job functions at Lessee's premises or other designated work sites, subject to the terms and conditions set forth in this Application and Agreement; and

WHEREAS, the parties intend that this Job Lease Application, when accepted and executed by both parties, will constitute a binding agreement setting forth the scope of services, payment, term and other material conditions governing the lease of personnel.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the intended termination date. Termination for cause may be immediate upon written notice if the non‑terminating party materially breaches any obligation and fails to cure within a commercially reasonable time when cure is possible.

Insurance and Liability

Lessor shall maintain workers' compensation insurance, employer liability, and commercial general liability insurance in amounts sufficient to cover obligations under this Agreement. Lessor's insurer and policy limits:

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes nonpublic business, technical, personnel and financial information designated as confidential or that reasonably should be understood to be confidential. Each party agrees to: (a) hold the other's Confidential Information in strict confidence; (b) use it only for purposes of performing obligations under this Agreement; and (c) not disclose it except to employees, agents or subcontractors with a need to know, who are bound to confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available without breach, is independently developed, or is required to be disclosed by law.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties below. Any dispute arising under or in connection with this Agreement shall be resolved through negotiation between senior representatives of the parties, and if unresolved, by binding arbitration or litigation as expressly agreed by the parties.
