RECITALS

WHEREAS, the Applicant is currently employed by the Employer and seeks issuance of a No Objection Certificate ("NOC") to permit the Applicant to accept external employment or other professional engagement in accordance with the terms set forth in this application and acknowledgement; and

WHEREAS, the Employer has authority to evaluate any potential conflict of interest, business continuity, and confidentiality considerations arising from the Applicant's proposed external engagement; and

WHEREAS, the parties desire to record the Applicant's proposed scope of outside work, the Employer's conditions for issuance of a NOC, and associated employment terms that shall govern the parties' rights and obligations during the period the NOC is in effect.

Compensation to the Applicant from the proposed engagement, if any, shall be separately contracted between the Applicant and the Proposed Employer. For purposes of the Employer's internal approval and any cost-recovery arrangements, provide the anticipated gross compensation:

This Application and any NOC issued in reliance on it shall be effective only for the period expressly authorized by the Employer. Indicate requested effective period:

The Employer reserves the right to revoke or limit any NOC if the Applicant's continued external engagement creates a demonstrable conflict of interest, materially interferes with duties to the Employer, breaches confidentiality obligations, or otherwise violates Employer policy. Revocation shall be effective upon written notice to the Applicant.

CONFIDENTIALITY

The Applicant acknowledges that all information and materials obtained in the course of employment with the Employer are the Employer's confidential information. The Applicant shall not, during or after the NOC period, disclose, use, or permit use of Employer confidential information for the benefit of the Proposed Employer or any third party, except as expressly authorized in writing by the Employer. Confidential information includes, without limitation, trade secrets, client lists, pricing, product plans, and business strategies.

ASSURANCES AND CERTIFICATIONS

The Applicant certifies that the information provided in this Application is true, complete and accurate to the best of the Applicant's knowledge. GOVERNING LAW

This Application and any NOC or agreement issued under it shall be governed by and construed in accordance with the substantive laws of the state or jurisdiction of the Employer's principal place of business, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Application, together with any written NOC issued by the Employer in response, constitutes the entire understanding between the Applicant and the Employer with respect to the subject matter hereof and supersedes all prior oral or written representations, communications, or agreements. Any amendment or waiver must be in writing and signed by an authorized representative of the Employer.
