RECITALS

WHEREAS, Employer is engaged in the business of operating and managing its workforce and desires to employ Candidate in a position described in this offer; and

Candidate agrees that during employment and thereafter Candidate shall not disclose, use, or permit the use of any such confidential information except as necessary to perform Candidate's duties for Employer or as required by law. Candidate shall take reasonable measures to protect confidentiality and will promptly return all Employer property and materials upon termination.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Employer and Candidate with respect to the subject matter hereof and supersedes all prior oral or written agreements, representations or understandings. Any modification to this Agreement must be in writing and signed by both parties.

To accept this offer, Candidate must sign and date this document and return a signed copy to Employer by the Response Deadline. This offer is contingent upon verification of information provided by Candidate and any required pre-employment checks.
